ARTICLE V
MEETINGS
Section 1. Annual Meeting.
The AAGC shall convene an annual meeting at the College on the Saturday of Alumnae/I Reunion Weekend. The Secretary shall send to all members notice of the date, hour and place of the meeting not later than thirty days before the day appointed for the meeting.
ARTICLE VII
BOARD OF DIRECTORS
Section 1. Voting Members.
The management of the AAGC shall be vested in a Board of Directors consisting of the Officers, three Alumnae/i Trustees, and twelve Directors. The Directors shall assume office on July 1 following election. At least one Director shall be an alumna or alumnus of a Goucher College Graduate Degree Program.

BOARD OF DIRECTORS
Section 5. Meetings.
The Board of Directors shall meet at least four times each year, (an all-day retreat on the third Saturday in July, in fall and winter on the Saturday that coincides with the weekend meeting of the Goucher College Board of Trustees and an annual meeting on the Saturday of Alumnae/i Reunion Weekend). The fall and winter meetings will be hybrid. The all-day retreat and annual meeting will have hybrid elements when possible. The President, upon being notified, may excuse a Director or Officer’s absence. The President may call special meetings; the President shall call a special meeting upon written request of six voting members of the Board. The Secretary shall provide at least thirty days’ written notice of a regular meeting and at least fourteen days’ notice of a special meeting. Ten voting members of the Board of Directors shall constitute a quorum.
Article XI
COMMITTEES
Section 2. Nominating Committee.
The voting members of the Nominating Committee shall consist of nine members of the AAGC from nine different classes, with each member serving a single three-year term. The terms of the nine directors shall be staggered, such that three shall be elected each year. In the event of a vacancy, the President shall appoint a replacement. Five voting members shall constitute a quorum. The Vice President or such other person whom the President may appoint shall serve as the facilitator of the Nominating Committee.
